S.J. David C. Bayne

January 11, 1918 — April 8, 2009

David C. Bayne, S.J. of Toledo died April 8, 2009. Father Bayne was born January 11, 1918, the son of David C. and Myrtle Murray Bayne of Detroit, Michigan. He attended Campion Jesuit High School in Prairie du Chien, Wisconsin, entered the Society of Jesus in 1941, was ordained in 1952, and professed his final vows in 1961. Father Bayne earned his A.B. degree in 1939 from the University of Detroit, his M.A. in 1947 from Loyola University, an LL.B. in 1947 and an LL.M. in 1948 from Georgetown University, his S.J.D. Doctor of Juridical Science from Yale University in 1949, and his Licentiate in Sacred Theology in 1953 from West Baden College. Father Bayne served the University of Detroit Law School as a faculty member, then as its Dean, from 1958-1960. He then taught at St. Louis University Law School and for over 25 years as a Professor of Law at the University of Iowa College of Law. He also taught at the University of Michigan Law School. Father Bayne was a pre-eminent authority in the fields of corporate control, securities regulation, and moral theology. He wrote several books, including Conscience, Obligation, and the Law 1966 and The Philosophy of Corporate Control 1986, and over 45 scholarly law-review articles, including his yet-to-be-published treatise on Insider Trading. Father Bayne was also active in corporate-control and securities litigation, often as counsel for plaintiffs, including the groundbreaking 1979 Rowen v. Le Mars Mutual Insurance Company, in which Father Baynes theories on the fiduciary nature of corporate control were embraced by the Iowa Supreme Court. An inveterate world-traveler, Father Bayne visited countries in Europe, Asia, Africa and Latin America, including three trips to the Peoples Republic of China and an extended trip in the former U.S.S.R. before the fall of the Berlin Wall. Father was predeceased by his parents and is survived by several cousins and many former students, colleagues, and close friends around the world. Father Bayne donated his body to science, and a memorial Mass in his honor will be celebrated at a later date.
